BARNEY BE-A-STAR SWEEPSTAKES
OFFICIAL RULES

NO PURCHASE NECESSARY. A PURCHASE WILL NOT INCREASE YOUR CHANCES OF WINNING.
ELIGIBILITY: The Barney Be-A-Star Sweepstakes (the “Sweepstakes”) is open only to legal residents of the fifty (50) United States and the District of Columbia, who are physically located in the United States, 18 years of age and older. Void in Puerto Rico and where prohibited. Employees, directors and officers, and their immediate families (spouse, parents, children, siblings, and their respective spouses), and the respective household members, of JAKKS Pacific Inc., its parent company, affiliates, subsidiaries, divisions, advertising and promotion agencies, and Strobe Promotions, Inc., are not eligible to enter. Sweepstakes is subject to all federal, state, and local laws. U.S. law governs this Sweepstakes.
SWEEPSTAKES TIMING: The Sweepstakes begins at 12:00:01 a.m. Eastern Time (ET) on August 15, 2007 and ends 11:59:59 p.m. ET on February 28, 2008 (the “Entry Period”).
TO ENTER: There are two (2) ways to enter this Sweepstakes: email or U. S. Mail. Email: To enter the Sweepstakes online, go to www.jakkspacific.com/Barney-sweeps/ and complete the online registration form, including your name, your child’s name, complete mailing address, daytime telephone number, email address and a description, in 50 worlds or less, of your child’s favorite Barney character and why that character is special. In addition, you will be asked to create a one-minute music Video starring your child singing, dancing or playing with a new musical Barney toy from Child Guidance (“Video”). Save your completed registration form and submit it along with your Video (collectively, “Entry”) via email to barney-sweeps@jakks.net during the Entry Period to receive one (1) Entry in the Sweepstakes. Video must be communicated in the English language, be no longer than one minute in length and be created in the following formats, Windows Media (WMV), Apple Quicktime (MOV), and AVI, and cannot exceed 5MB in file size. Video must not be offensive and content must be suitable for the general public as solely determined by the Sponsor, or Entry will be disqualified. Online Entry must be received by 11:59:59 p.m. ET on February 28, 2008 in order to be eligible. U.S. Mail: You may enter the Sweepstakes by U. S. Mail by printing your name, address, telephone number and a description of your child’s favorite Barney character in 50 words or less on a 3X5 card (“Entry”), inserting your Entry in a stamped envelope and mailing to: The Barney Be-A-Star Sweepstakes, 21749 Baker Pkwy, Walnut, CA 91789. Mail-in entries must be postmarked by February 28, 2008 and received by March 7, 2008 in order to be eligible. Limit one Entry per outer mailing envelope. Limit one Entry per person, regardless of method of Entry. Please note: You must be the parent/legal guardian of the child depicted/described in your Entry submission and the child must be at least 24 months of age and not more than 6 years of age as of February 28, 2008. Proof of child’s age will be required to claim prize. Entries that have been generated by a script, macro, bot or any other automated means will be deemed void. Entries that are mechanically reproduced, copied, illegible, incomplete or inaccurate are void. Duplicate entries submitted by the same person or the same email address are void. Proof of mailing or emailing does not constitute proof of delivery. Entries become the property of the Sponsor and will not be acknowledged or returned. If a dispute results as to the identity of an online entrant, it will be determined that the online Entry was submitted by the authorized account holder of the email address from which the Entry is made. For these purposes, the authorized account holder is the natural person assigned to an email address by an Internet access provider, on-line service provider or other organization responsible for assigning email addresses or the domain associated with the submitted email address.
OWNERSHIP OF ENTRIES: By entering, each entrant unconditionally assigns and transfers to Sponsor all rights, title, and interest in and to his or her Video, including, without limitation, the copyright therein. Sponsor shall have the right, in its sole discretion, to edit, composite, morph, scan, duplicate, or alter, the Video for any purpose which Sponsor deems necessary or desirable in any and all media now or hereafter devised worldwide without limitation and without further compensation, notification or permission from entrant or any third party. Each entrant agrees that Sponsor may, without any limitation or further compensation, use his or her name, child’s name, Video, including voice and/or likeness in any and all media now or hereafter devised worldwide without limitation and without further compensation, notification or permission from entrant for the purpose of advertising and promoting the Sweepstakes or any other promotion, contest or sweepstakes sponsored by the Releasees. Neither entrants nor winner shall be entitled to receive any compensation or credit for use of entries, other than that disclosed in these Official Rules.
REPRESENTATIONS AND WARRANTIES/INDEMNIFICATION: Each entrant who submits a Video represents and warrants to Sponsor as follows: (i) the Video is the entrant’s own original, previously unpublished, and previously unproduced work; (ii) the Video is wholly original with entrant and as of the date of submission, is not the subject of any actual or threatened litigation or claim; (iii) the Video neither infringes upon nor violates the intellectual property rights or other rights of any other person or entity; and (iv) the Video does not and will not violate any applicable laws, and is not and will not be defamatory, libelous or objectionable, as determined solely by the Sponsor. Any entrant whose Video includes likenesses of third parties or contains elements not owned by the entrant (such as, but not limited to depictions of buildings, trademarks, logos or copyrighted material, with the exception of a Barney toy from Child Guidance) must be able to provide legal releases for such use including Sponsor’s use of such Video, in a form satisfactory to Sponsor, or Entry will be disqualified. In the event the likeness of a minor is included in an entrant’s Video, entrant must provide a legal release from parent/legal guardian of minor depicted in Video.
WINNER DETERMINATION: One (1) potential Grand Prize winner will be selected in a random drawing on or about March 14, 2008 from among all eligible email and mail-in entries received. The random drawing will be conducted by Strobe Promotions, Inc., an independent judging organization. Judges decisions are final on matters relating to this Sweepstakes. The Videos submitted will not be scored or judged and will not affect the winner determination. The potential Grand Prize winner will be notified by electronic mail or overnight or U.S. mail and/or telephone on or about March 20, 2008. Potential Grand Prize winner will be required to sign an affidavit of eligibility/liability release and where legal, a publicity release, and Federal and State tax release, and return these documents, properly executed, within 14 days of issuance of notification. Non-compliance within this time frame, or if prize notification is returned as undeliverable, will result in the entrant being disqualified, and the prize will be awarded to a potential alternate winner. Odds of winning depend upon the number of eligible online and mail-in entries received. Prize will be awarded. If winner is deemed a minor in their state or place of residence, minor’s parent or legal guardian must also execute all documentation required to be executed by winner hereunder.
PRIZE DESCRIPTION: One (1) Grand Prize: A 3-day, 2-night trip for two (one parent or legal guardian, one child) to Dallas, TX where the child will receive a walk-on role in a Barney episode. Prize includes: round-trip, coach air transportation for the winner (one parent or legal guardian) and his/her child from a major commercial airport nearest the winner’s residence to Dallas, TX, standard hotel accommodations (double occupancy) and transportation to and from the studio where Barney is filming. Approximate Retail Value (ARV) $3,500. Trip must be taken on dates specified by Sponsor at its sole discretion or prize will be forfeited and an alternate winner may be selected. Actual value of trip prize depends on the city of departure, time of travel, any airfare fluctuations and on current market conditions at time of prize fulfillment, and any difference between the stated ARV and the actual value if any, will not be awarded. If a travel guest is a resident of a jurisdiction that deems him/her to be a minor, he/she must be accompanied by his/her parent/legal guardian. Travel arrangements will be made through the travel coordinator designated by Sponsor. Trip is subject to air/hotel availability, holiday and blackout dates, and other conditions and restrictions, if provided by prize coordinator/supplier. If the Grand Prize Winner lives within 100 miles of prize destination city, the air transportation portion of the prize will not be awarded and ground transportation will be substituted and no additional compensation will be provided. Airline and flight times to be selected by air supplier at its sole discretion. One or more stopovers may be required on air transportation. Grand Prize Winner and his/her child must travel together at the same time on the same itinerary. Air transportation and hotel accommodations must be taken together and cannot be taken separately. Once trip dates have been booked, no change, extension or substitution of trip dates is permitted, except at Sponsor's sole discretion. Grand Prize Winner must confirm available travel dates and flight times selected by the Sponsor at least three (3) weeks prior to travel dates. No extension or change of trip dates permitted. Sponsor will not replace any lost or stolen tickets, travel vouchers, certificates or similar items once they are in Grand Prize Winner's possession. JAKKS (“Sponsor”), its affiliates, subsidiaries, divisions, advertising and promotion agencies, and Strobe Promotions, Inc. ("Sweepstakes Entities") shall not be responsible for any cancellations, delays, diversions or substitution or any act or omissions whatsoever by the air carriers, hotels or other transportation companies or any other persons providing any of these services and accommodations to passengers including any results thereof such as changes in services or accommodations necessitated by same. If any portion of the Grand Prize is unable to take place as planned, for any reason, including but not limited to, cancellation, scheduling conflicts or an event of force majeure, the remaining components of the Grand Prize will be awarded and Sponsor’s obligation to the winner will be fulfilled, and no other additional compensation will be provided. Sweepstakes Entities do not guarantee that the final on-air version of the episode will include the child’s walk-on scene. Prize conditions may be added or modified by companies providing those portions of the prize. The prize restrictions/conditions stated herein are not all-inclusive and may be subject to additional restrictions/conditions, which may be stated in the affidavit and release and/or prize travel documents. Sweepstakes Entities shall not be liable for any loss or damage to baggage. Grand Prize Winner and guest are solely responsible for obtaining all necessary and required travel documents (passport, etc.). All airline tickets issued in conjunction with prize are not eligible for frequent flyer miles, and no code-share flights may be used. Prize components cannot be used in conjunction with any other promotion or offer, and no portion may be separated except at Sponsor's sole discretion. Winner (or parent/legal guardian) must sign a travel release for minor guest. All taxes and any other costs not specifically stated within these Official Rules are the sole responsibility of the winner. Prize may not be transferred, substituted or redeemed for cash, except at the Sponsor’s sole discretion. Sponsor reserves the right to substitute a prize of equal or greater value if advertised prize is unavailable at the time the prize is awarded.
CONDITIONS OF PARTICIPATION: By entering, entrants agree to be bound by these Official Rules including all eligibility requirements. By accepting a prize, winner consents to the use of his/her and child’s name, image, likeness, photograph, voice, and biographical material for advertising, publicity and promotional purposes by Sponsor, or a party designated by the Sponsor, including but not limited to, any online announcements, without additional compensation, except where prohibited by law. Entrants release and hold harmless Sponsor, its parent company, affiliates, agencies, Strobe Promotions, Inc. and their employees, officers, directors and shareholders (“Releasees”) from any claims, actions, injury, loss or damage of any kind, including but not limited to, personal injury or death, resulting from participating in this Sweepstakes or from the acceptance, possession, or use or misuse of any prize awarded or participation in any prize-related activity.
GENERAL: Sponsor will collect information from the entrant solely for the purpose of the prize drawing and to notify the winner. Sponsor will not share this information with any third parties, except as necessary for the administration of the Sweepstakes, and will not attempt to contact entrant. Releasees are not responsible for lost, late, illegible, misdirected, postage due or stolen entries or transmissions, or problems of any kind, including but not limited to printing errors, whether mechanical, human or electronic. Releasees are not responsible for technical, hardware or software malfunctions, telephone failures of any kind, lost or unavailable network connections, inability to access a website, submit an online registration form or upload a Video, fraud, incomplete, garbled, or delayed computer transmissions or inaccurate transcription of Entry information, whether caused by the Sponsor, users or by any of the equipment or programming associated with or utilized in this promotion or by any technical or human error which may occur in the processing of submissions which may damage a user’s system or limit a participant’s ability to participate in the promotion. Entry materials that have been tampered with or altered are void. Sponsor reserves the right, in its sole discretion, to cancel or suspend part or all of this Sweepstakes at any time without notice, if in the judges’ opinion there is any suspected or actual evidence of electronic or non-electronic tampering with any portion of the Sweepstakes, or if virus, bugs, non-authorized human intervention or other causes corrupt or impair the administration, security, fairness or integrity and proper play of the Sweepstakes. In such event, Sponsor may void any entries they suspect are at issue and award prize in a random drawing from among all eligible entries received up to the date of cancellation. Caution: Any attempt by an entrant or any other individual to deliberately damage the website or any online service related to this promotion or undermine the legitimate operation of the Sweepstakes may be a violation of criminal and civil laws and should such an attempt be made, the Sponsor reserves the right to seek damages (including attorney’s fees) from any such person to the fullest extent permitted by law, including criminal prosecution. Sponsor’s failure to enforce any term of these Official Rules shall not constitute a waiver of that or any other provision. Sponsor reserves the right to disqualify entrants who violate the rules or interfere with this Sweepstakes in any manner. If an entrant is disqualified, Sponsor reserves the right to terminate that entrant’s eligibility to participate in the Sweepstakes.
DISPUTES: Except where prohibited, all issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the participant and Sponsor in connection with the Sweepstakes, shall be governed by, and construed in accordance with, the laws of the State of California, without giving effect to any choice of law or conflict of law rules (whether of the State of California, or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of California.
